Exclusive Area Terms (Pro)

These terms apply only to the Pro pack. They are part of your Terms of Sale and sit alongside the Licence Agreement and the Refund Policy. If they conflict with the Terms of Sale about your exclusive area, these terms apply.

1. What "exclusive area" means

Pro includes one Area: a town or city that you choose. We keep a register of reserved Areas. While your Area is reserved to you, we will not knowingly sell any AgencyCrate pack (Starter, Agency or Pro) to anyone who tells us, or who we know, is based in your Area.

2. What it does not mean

Please read this section carefully, so you know exactly what you are buying.

We cannot stop other people from offering web design in your Area. That includes people who do not use AgencyCrate, and people who use other tools.
Existing customers. Someone who bought AgencyCrate before your Area was reserved, and who is based there, keeps their licence. Before you pay, we will tell you in writing if we know of an existing customer based in your Area.
We rely on what buyers tell us. We use the town or city a buyer gives us when they order, and we cannot check it. We do not guarantee that nobody in your Area ever owns AgencyCrate.
It is not exclusive for clients, industries or online sales. You may sell to clients anywhere. Others may sell to clients in your Area from elsewhere.
It is not a promise of income or clients. Your results depend on your effort, your market and your prices. No income is guaranteed.
It is not a franchise, partnership or employment. You run your own independent business. You may not say you are AgencyCrate, or act for us.

3. Choosing and confirming your Area

Each Pro licence has one Area.
Tell us the town or city you want. We check our register and confirm in writing, by email, before you pay, whether it is available and exactly what it covers. Large cities may be divided into named districts, and we will tell you what your Area covers.
Your Area is reserved to you once we have received your payment and confirmed it by email.
Areas are given on a first-confirmed, first-served basis. If an Area is accidentally paid for twice, the later payment is refunded in full.

4. How long it lasts

Your Area lasts for as long as you hold your Pro licence. There is no renewal fee.
Fair use. About once a year we may email you to ask whether you still want your Area. If you reply that you do not, or you do not reply within 30 days of a second written reminder, we may release your Area. We will confirm the release in writing. A release does not affect your licence, your materials or the websites you have built.
You may release your Area at any time by telling us. A release is not a refund.

5. Changing or transferring your Area

You may ask us once to move your reservation to a different available Area. We will decide in good faith.
Your Area and your Pro licence cannot be transferred to someone else without our written consent.

6. Refunds

If you are refunded under the Refund Policy, your Area is released straight away.

7. Breach

We may release your Area if you break the Licence Agreement, or if a payment for your Pro pack is reversed or charged back. We will tell you why, in writing.

8. If we stop selling AgencyCrate

If we stop selling AgencyCrate, your Area reservation ends, because there is then nothing to protect. We will give you notice. Your licence, your materials and your websites are not affected.

9. Your rights

This agreement does not limit any rights you have under consumer-protection law where you live or in South Africa. It is governed by the law of South Africa, subject to any mandatory consumer rights where you live.
